Passage Privacy Consent

In order for Passage to provide you with its products, services, and platform, Passage requires your consent to share, collect, use and disclose (“Process”) your personal information as set out below, including for the sharing of your personal information between Passage and its partners. If you do not consent to the Processing of your personal information as set out below, Passage may not be able to provide you with its products, services and platform including as set out in the loan agreement and/or funding agreement, as may be applicable, between you and Passage, each as may be amended, replaced, amended and restated, supplemented, or renewed from time to time (the “Agreements”). For purposes of this Privacy Consent (a) “Passage” shall mean Passage Inc. and its subsidiaries, (b) “Institution” shall mean the academic institution that you are applying to through Passage.

By signing and initialing below, you hereby consent to the Processing of your personal information that is described below, which is a condition for Passage entering into the Agreements with you:

Disclosure from Institution to Passage: You consent that, on an on-going basis, your Institution may disclose to Passage the personal information listed below, which Passage may thereafter Process: (i) as required to provide products or services to you; (ii) for the operation or enhancement of Passage’s products, services or platform (including fraud detection, diligence, reporting, analytics and reporting); (iii) as required by applicable law and otherwise as not prohibited by applicable law; and (iv) otherwise as set out in the Privacy Policy (the “Permitted Purposes”). Your consent to this ongoing disclosure is mandatory and a condition for entering into the Agreements, and may not be withdrawn for so long as the Agreements are in force.

Disclosure from Passage to Institution: You consent that, on an on-going basis, Passage may disclose to your Institution the personal information listed below, which your Institution may thereafter Process in accordance with their privacy policy (please contact your Institution for more information or for a copy of their privacy policy). Your consent to this ongoing disclosure is mandatory and a condition for entering into the Agreements, and may not be withdrawn for so long as the Agreements are in force.

Disclosures upon Non-Receipt of Study Permit/Visa: If you advise Passage that you have not received a “study permit” and/or a Canadian “visa approval” and are thus seeking return or refund of collateral or other amounts in accordance with the Agreements, then you consent that Passage (or its affiliates) may notify the Institution, Canada Border Services Agency and/or Immigration, Refugees and Citizenship Canada that you have not received the “study permit” or Canadian “visa approval” and that Passage has no obligation to advance the loan or any other funding amount and/or that such collateral or other amounts have been or are to be returned.Your consent to this disclosure is mandatory and a condition for entering into the Agreements, and may not be withdrawn for so long as the Agreements are in force.

Disclosures upon Changes to your Institution or Program: If you (x) change your Institution or Program, (y) defer your Program start date, or (z) drop out or de-enroll from the Program at the Institution, you, then you consent that Passage (or its affiliates) may notify the Institution, Canada Border Services Agency and/or Immigration, Refugees and Citizenship Canada that any of the foregoing has occurred and that Passage has no obligation to advance the loan or any other funding amount. Your consent to this disclosure is mandatory and a condition for entering into the Agreements, and may not be withdrawn for so long as the Agreements are in force.

Disclosures to Guarantor: You consent that, on an on-going basis, Passage may disclose to any guarantor (if any) of the loan provided for in the Agreements information about you or the loan (including information about the status of the loan, your financial condition or that relates to the nature, scope and extent of the risk being assumed or incurred by the guarantor). Notwithstanding the foregoing, Passage is under no duty to make such disclosures to the guarantor as set out in the Agreement. Your consent to this ongoing disclosure is mandatory and a condition for entering into the Agreements, and may not be withdrawn for so long as the Agreements are in force.

Privacy Policy: Without limiting the other consents herein, you consent to the Processing of your personal information from time to time as set out in Passage’s privacy policy (which is available at https://www.passage.com/privacy (the “Privacy Policy”)) and otherwise as not prohibited by applicable law. The Privacy Policy may be amended by Passage from time to time. As further set out in the Privacy Policy, and without limiting the permitted Processing set out in the Privacy Policy or permitted by applicable law, you acknowledge and agree to the following:

Collection from, and Sharing with, Partners: Passage may collect personal information directly from you or from Passage’s partners, may use your personal information and may share personal information with Passage’s partners for the Permitted Purposes and otherwise with your consent. For clarity, you also consent to such partners disclosing the foregoing information to Passage. Such partners may include financial institutions, payment providers, loyalty partners, educational institutions, landlords, employers, credit reporting agencies, registries, governmental agencies (including applicable ministries of education, the Canada Revenue Agency, Canada Border Services Agency and Immigration, Refugees and Citizenship Canada), existing and potential financing sources, affiliates and debt collectors.

De-identified and anonymized information: Passage may de-identify or anonymize your information by removing identifiable information such as your name, address, and account numbers. Such de-identified or anonymized information is not personal information, and Passage may use such information for its own internal business purposes (including analytics, product development and reporting) and disclose it to its partners

Business Transactions: Passage may offer you products and services (including any loan and funding services) as nominee and/or agent on behalf of, and that we may assign the loan or funding services (if any) to, or otherwise sell or transfer the loan or funding services (if any) to, another entity (the “Beneficial Owner”), whether or not such Beneficial Owner is named in any documents relating to the Agreements, and that Passage may share your personal information with any such Beneficial Owner or its assignee. Further, Passage may share your personal information with a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of Passage’s assets.

Service Providers and Location: Passage may transfer your personal information to contractors, service providers, and other third parties Passage uses to support its business and who are contractually obligated to keep personal information confidential, use it only for the purposes for which Passage discloses it to them, and to process the personal information with comparable standards set out in this policy. Passage may process, store, and transfer your personal information in and to a foreign country, with different privacy laws that may or may not be as comprehensive as Canadian law. In these circumstances, the governments, courts, law enforcement, or regulatory agencies of that country may be able to obtain access to your personal information through the laws of the foreign country.
