Referral Program Terms

These Terms and Conditions (these "Terms and Conditions") and the terms and conditions of the Referral Program set forth in the Terms (the "Terms of Service") govern your participation in the 2024 Referral Program (the "2024 Referral Program").

Participants in the 2024 Referral Program are subject to the Terms of Service and Privacy Policy, as well as these Terms and Conditions. Passage Inc. and its affiliates (collectively, "Company") reserves the right to cancel the 2024 Referral Program and to amend the terms of the 2024 Referral Program, these Terms and Conditions, the Terms of Service, and/or the Privacy Policy, in each case at any time without prior notice. By participating in the 2024 Referral Program or any promotions similar to the 2024 Referral Program, the participant acknowledges that he/she has read and agrees to be bound by the Terms of Service, Privacy Policy, and these Terms & Conditions for the 2024 Referral Program.

Definitions

As used in these Terms and Conditions:

• "Confirmation of Enrollment" means the applicable schools, colleges, and universities (together, the "Educational Institutions") confirming to Company that the Eligible Referee is enrolled in such Educational Institution, as applicable, and has paid all tuition and other fees for the applicable first semester. It is understood that (a) such date shall not be before the 'withdrawal date' has elapsed for such semester and (b) such Eligible Referee is not entitled to refunds from such Educational Institution, as applicable, after such date.
• "Educational Institutions" has the meaning ascribed to it in the definition of Confirmation of Enrollment.
• "Eligible Referrer" means an individual who (a) is at least 18 years old; (b) is permitted to act as a referrer to the 2024 Referral Program under its applicable laws and regulations; (c) is in compliance with, and is permitted to be a referrer under, these Terms and Conditions and the Terms of Service; (d) is not employed by a qualified educational institution; (e) provides a Referral Link to an Eligible Referee (such date, the "Referral Date"); and (f) is not, and will not be (i) listed on any economic and trade sanctions administered by the Office Of Foreign Asset Control of the U.S. Treasury Department, the U.S. Department of State, the European Union, the United Kingdom, Canada or other applicable jurisdiction, and will not conduct any transaction prohibited by such sanction authorities, and (ii) located in a country nor subject to any laws that would prevent it from acting as a referrer or receiving the 2024 Referral Reward.
• "Eligible Referee" means an individual who (a) uses a Referral Link to access the 2024 Referral Program, and (b) is in compliance with, and is permitted to be a referee under, these Terms and Conditions and the Terms of Service (including as an "Eligible Referred Persons" thereunder).
• "Referral Link" means the Referral Link as described in the Terms of Service.
• "Successful Referral" means an Eligible Referrer (i) that submits a services application via the Referral Link; (ii) that is approved by Company to use its services; (iii) that pays for its tuition costs for the Educational Institutions through disbursements of the Company's services in accordance with the terms and conditions established by Company; (iv) for whom Company has received a Confirmation of Enrollment within 1 year of the Referral Date; and (v) that is in compliance with these Terms and Conditions and the Terms of Service and any applicable loan or funding agreement with Company.

The use of the word "including" in these Terms and Conditions to refer to specific examples will be construed to mean "including, without limitation" or "including but not limited to" and will not be construed to mean that the examples given are an exclusive or exhaustive list of the topics covered.

Rewards

• During the term of this 2024 Referral Program, Company or its designee will pay Eligible Referrer the amount specified in the promotional campaign associated with the Referral Link (the "2024 Referral Reward") for each Successful Referral. Company will pay the 2024 Referral Reward in Canadian Dollars.
• In no event will any person be entitled to receive more than $5,000 Canadian in cumulative 2024 Referral Reward within any calendar year.
• Eligible Referrers will receive their 2024 Referral Rewards for Successful Referrals within 90 days of the Confirmation of Enrollment.
• 2024 Referral Rewards can only be awarded for Successful Referrals through Company's reward partner, Tremendous (www.tremendous.com). Company does not transfer the reward amount directly to the Eligible Referrer's bank account. If an Eligible Referrer is ineligible to receive the 2024 Referral Rewards through Tremendous, no 2024 Referral Reward will be owing. Additional terms will be shown in the referral invitation or accompanying promotional materials. All 2024 Referral Rewards are awarded in Company's sole and absolute discretion. Company reserves the right to change or substitute rewards at any time without prior notice, including the rewards partner. 2024 Referral Rewards will be valid for 120 days from the date the reward is sent to Eligible Referrer, and under no circumstances will Company be able to extend the reward-claiming deadlines.
• 2024 Referral Reward calculations and eligibility shall be determined by Company and may not be appealed or disputed.

Other

• The 2024 Referral Program ends on December 31, 2024, at 11:59 p.m. EST. All applications started until December 31, 2024, will be eligible for this referral offer.
• Passage reserves the right to review, investigate, and disqualify anyone from participation in the 2024 Referral Program at any time, and reserves the right to not honour any referral, including a referral which in our sole discretion was solicited in a manner inconsistent with the spirit or terms and conditions of the 2024 Referral Program.
• Company reserves the right to (a) decline to provide any products and services to Eligible Referee for any reason, and (b) independently determine all terms (including pricing) of any products or services, if any.
• Anyone who violates these Terms and Conditions and the Terms of Use is ineligible for the 2024 Referral Program.
• The 2024 Referral Program is void where such referral programs are prohibited.
